Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) apply to all websites and online services operated by GPEx Limited (ACN 608 491 621) (“GPEx”, “we”, “us”, “our”), including gpex.com.au, modmed.com.au, learn.gpex.com.au, learn.modmed.com.au, and any other GPEx-affiliated sites (collectively, the “Sites”). By accessing or using any of our Sites – for example, browsing our content, registering an account, or enrolling in a GPEx program – you agree to these Terms and any additional terms, conditions, or notices we provide on the Sites (together with these Terms, the “Website Terms”). If you do not agree, you must stop using our Sites immediately. If you use our Sites on behalf of an organisation (e.g. your employer or institution), you represent that you have the authority to accept these Terms on its behalf, and “you” will refer to that organisation.

2. Changes to Terms

GPEx may update or amend these Terms from time to time. If we do, the revised Terms will be posted on our Sites with a new “Last updated” date. Changes take immediate effect upon posting. By continuing to use our Sites after an update, you agree to the revised Terms. (If you have purchased access to a course or content, the Terms in effect at the time of purchase will generally apply to that transaction. We encourage you to review the Terms periodically.

3. Account Registration

Certain features or content on our Sites may require you to register an account (“Account”). When creating an Account, you must provide accurate and complete information and keep this information up to date. You are responsible for safeguarding your Account login credentials (username and password) and must not share them with anyone. All activities that occur under your Account are your responsibility, whether or not you personally authorised them. If you believe your Account has been compromised or used without permission, you must notify GPEx immediately at support@gpex.com.au. We may suspend or disable your Account to protect you, GPEx, or other users from security threats or misuse.

4. Access to Courses and Payments

Some GPEx programs, courses, or materials (“Courses”) available through our Sites require payment of a fee (“Course Fee”) and an active Account. When you purchase a Course:

  • Payment and Access: You must pay the applicable Course Fee (as listed on our Sites) in advance. Once payment is received, GPEx grants you a personal right to access the Course content and related materials (“Materials”) for the advertised access period (the “Access Term”). Access to paid Courses and Materials is provided for your use only (see Permitted Use below) and is contingent on your compliance with these Terms.
  • Refunds: Course Fees are generally non-refundable once access is provided, subject to your rights under Australian consumer law (see Liability section below) or as stated in our Cancellation and Refund Policy (available on our website). Please review that policy for details on when refunds or cancellations may be available (for example, in cases of course cancellation by GPEx or certain change-of-mind periods, if offered).
  • Account Sharing: Do not share your Account with others to allow them access to a Course or Materials they have not purchased. Each Course purchase is intended for a single user or a specific authorised group, as communicated by GPEx.

GPEx reserves the right to withdraw or modify Courses or Materials (for example, to update content or pricing) at any time. If you have already paid for a Course, such changes will not adversely affect your existing Access Term for that Course.

5. Your Responsibilities (Acceptable Use)

When using our Sites (including any Courses or interactive features), you agree to use them lawfully and respectfully. Specifically, you must:

  • Keep Account Details Secure: Protect your Account login information and immediately notify GPEx of any unauthorised use or security breach. Do not use another person’s account without permission.
  • Provide Lawful, Rights-Cleared Content: Ensure that any information or material you post, upload, or transmit via our Sites does not violate any law, regulation, or court order, and does not infringe the rights of others (including privacy rights or intellectual property rights). You may not upload confidential or personal information about others without their consent.
  • Avoid Harmful Code: Do not transmit viruses, malware, or any other harmful code via our Sites, and do not take any action that could compromise the security or functionality of our systems (no hacking, phishing, or cyber-attacks).
  • Be Respectful and Fair: Do not use our Sites to harass, bully, defame, impersonate, or threaten anyone, or to post content that is offensive, obscene, or otherwise inappropriate.
  • No Service Disruption: Do not interfere with or disrupt the use of the Sites by others – for example, by attempting to disable the Sites, perform unauthorised modifications, or overwhelm the platform.

You are responsible for ensuring that anyone you allow to use the Sites via your internet connection or device also complies with these requirements. If you breach these rules, we may act including removing content, suspending your access, or other appropriate measures (see Termination below).

6. Permitted Use of Content

Unless we give you express written consent; you may use the content on our Sites (including Course Materials) only for your personal or internal professional purposes. This means you can download or print reasonable portions of Materials for your own learning or work-related reference. However, you must not redistribute, publish, upload, or sell any content from our Sites to others without permission.

For example, you should not copy content to your own website, publish our course materials in a public forum, or commercially exploit our content in any way without a license from us. All copies or excerpts you do make (as permitted here or by law) should preserve any copyright, trademark, or proprietary notices as they appear in the original content.

7. User Content and Feedback

Our Sites may allow you to submit or upload content – for example, posting comments, participating in forums, providing feedback, or submitting assignments (“User Content”). If you contribute any User Content:

  • License to GPEx: You give GPEx a non-exclusive, worldwide, royalty-free license to use, reproduce, host, adapt, publish, and create derivative works from your content. We will use this license only to operate and improve our services – for example, to display your comments or questions on a forum, to incorporate your suggestions into our programs, or to develop new features. This license is ongoing (even if you remove your content or stop using our Sites) but is not exclusive, meaning you remain free to use your own content in any other way.
  • Your Warranties: You promise that you have the rights and permissions to post the content you provide, and that your content is lawful, not misleading, and does not violate the rights of any person. For example, you should not upload material that you copied from someone else without permission or share personal information about another person unless you have their explicit consent.
  • Monitoring and Removal: We do not routinely edit or monitor User Content, but we reserve the right to review, remove, or modify any User Content at our discretion. We might do this, for instance, if the content violates these Terms, is offensive or unlawful, or to ensure the integrity and safety of our Sites. We may also disable or restrict user accounts that repeatedly violate our content standards.
  • Personal Information in Content: If your User Content includes any personal information, our handling of that information will follow our Privacy Policy (for example, if you post your email address or any personal details, we will treat that detail in line with our privacy obligations).

By submitting any User Content, you understand that others on the Sites may view and use that content. GPEx is not responsible for how other users may interpret or use the information you choose to share publicly through our Sites.

8. Third-Party Links and Services

Our Sites may include links or integrations to websites, content, or services not operated by GPEx (for example, external learning resources, payment gateways, or social media sharing tools). These third-party sites or services are provided for your convenience. However, GPEx does not control or endorse these external resources and is not responsible for their content, accuracy, or privacy practices. If you choose to access or use any third-party site or application through our Sites, you do so at your own risk.

Your information or content may be shared with those third parties as needed to facilitate the use of their services (for instance, if you use an integrated payment service, it will receive your payment details). By using a third-party link or feature, you are deemed to consent to that sharing. Any third-party platform will have its own terms of use and privacy policy, and you should review those policies – this Terms of Use and our Privacy Policy will no longer apply once you leave our Sites.

9. Privacy and Cookies

Your privacy is important to us. Any personal information we collect through our Sites or services will be handled in accordance with our Privacy Policy (which is incorporated into these Terms by reference). Our Privacy Policy explains how we collect, use, store, and disclose your information, and how you can access or correct it. By using our Sites or providing personal information to us, you consent to the collection and use of your information as described in that Policy. In particular, GPEx adheres to the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs) in all applicable dealings with personal data.

Additionally, our Sites use cookies and similar tracking technologies to enhance your experience (for example, remembering your preferences and analysing site usage). 10. Suspension or Termination

GPEx reserves the right to suspend or terminate your access to any or all parts of our Sites (including any Courses or Materials) at any time if, in our reasonable opinion, you violate these Terms or misuse our services. We may also remove or disable access to any specific content or feature for legal compliance or security reasons. In such cases, we will endeavour to inform you of the suspension or termination (for example, by emailing the address associated with your Account).

If your access is terminated or suspended, you must not attempt to circumvent that action (e.g., by creating a new account without permission). Even after termination, the provisions of these Terms intended to survive (such as rules about intellectual property, liability, and any other ongoing rights or obligations) will continue to apply.

11. Disclaimers (Content and Availability)

GPEx strives to keep information on our Sites (including Course Materials and resources) accurate and up to date, but we do not guarantee that the content is always correct, complete, or suitable for your specific needs. All content is provided on an “as is” and “as available” basis. It is intended for general informational and training purposes only and is not a substitute for professional advice. In particular, no content on our Sites (including any medical or health-related training material) is intended to provide medical, legal, or other professional services, and it should not be relied upon for clinical decisions or the diagnosis or treatment of any medical condition. You are responsible for how you apply the information from our Sites.

While we use reasonable efforts to ensure our Sites are available and secure, we do not warrant that access will be uninterrupted, error-free, or free of viruses or other harmful components. Service interruptions may occur, and content may be modified, updated, or removed by us at any time without prior notice. You should use up-to-date antivirus, firewalls, and other security protections on your own devices and networks. GPEx is not responsible for any loss or damage to your computer systems, software, or data that may result from your use of our Sites or any linked third-party content.

12. Limitation of Liability

To the fullest extent permitted by law, GPEx and our officers, employees, and partners will not be liable for any loss or damage that you or your organisation suffer in connection with your use of (or inability to use) our Sites, Courses, or Materials. This includes (but is not limited to) any direct, indirect, incidental, special, or consequential losses, as well as losses of profits, data, goodwill, or opportunities. We also have no liability for any loss or damage arising from your use of third-party websites or services linked to or integrated with our Sites.

Consumer Law Notice: Nothing in these Terms is intended to exclude or restrict any legal rights or guarantees you have under the law which cannot be excluded (for example, certain rights under the Australian Consumer Law). These are called “Non-Excludable Rights.” If any Non-Excludable Rights apply, we do not exclude them; however, if we are allowed to limit our remedy for a breach of such a right or guarantee, we will do so. In the case of services, this means we may choose to re-supply the services to you or pay the cost of having the services re-supplied (and, if applicable, in the case of goods, to replace or repair the goods or pay the cost of such replacement).

13. Indemnity (Your Liability)

You agree to indemnify GPEx (and our officers, employees, and agents) for any loss, damage, or claim (including reasonable legal costs) that arises from:

  • Your breach of these Terms or misuse of our Sites (for example, using our content in an unauthorized way or violating the Acceptable Use requirements in Section 5).
  • Your Content – any claim by a third party that material you submit to our Sites (or our use of it in accordance with these Terms) infringes their rights or causes them loss (for example, an allegation that something you posted is defamatory or violates another person’s intellectual property or privacy).

We will promptly notify you of any such claim, and you agree to cooperate with us in resolving it. This indemnity will not apply to the extent that any loss or liability is caused by our own negligence, wilful misconduct, or breach of law.

14. Governing Law

These Terms, and any disputes arising from your use of the Sites or any agreement with GPEx formed under these Terms, are governed by the laws of Australia. By using our Sites, you submit to the non-exclusive jurisdiction of the courts of South Australia in respect of all such disputes. We make no representation that the content on the Sites is appropriate or available for use in other locations and accessing the Sites from territories where our content is illegal is prohibited.

15. General Provisions

  • No Waiver: If we do not enforce a part of these Terms, it does not mean we give up the right to enforce it later. Any waiver of rights must be explicit and in writing to be effective.
  • Severability & Unfair Terms: If any provision of these Terms is found to be invalid, unenforceable, or deemed “unfair” under relevant law, that part will be modified or removed to the minimum extent necessary, and the rest of the Terms will continue in full force. Our intent is that these Terms be interpreted to be valid and enforceable to the fullest extent permitted by law.
  • Entire Agreement & Additional Terms: These Terms (together with any other Website Terms like our Privacy Policy, Cookie Policy, and specific service terms) constitute the entire agreement regarding your use of our Sites. If any specific service or feature on a Site has separate terms or policies, those additional terms will apply to your use of that service. If there is a conflict between these Terms and any specific additional terms, the additional terms will prevail to the extent of the conflict.
  • Events Beyond Control: GPEx is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control (for example, internet outages, cyber-attacks, natural disasters, or government restrictions).
  • Notices: We may provide you with notices regarding the Sites or these Terms by posting a notice on our website or by contacting you through the email address you provided in your Account.
